      Important: By using the AmoryAI website or any related services, you agree to be bound by these Terms of Use. If you do not accept these Terms, you may not use the Service.
    

These Terms of Use ("Terms") govern your access to and use of AmoryAI, including the website amory.amoryai.com and its subdomains, and all related content and services (collectively, the "Service"), operated by AMORYAI INC ("AmoryAI," "we," "us," or "our").

These Terms should be read in conjunction with our Privacy Policy, Subscription Terms, and Money-back Policy.

1Our Services

1.1. AmoryAI provides a conversational AI platform that enables you to explore future scenarios, ask questions on any topic, and receive probabilistic assessments through text-based interactions. The AI is a software program designed to generate responses to your messages.

1.2. You acknowledge that you are communicating with software, and we cannot continuously monitor all of its outputs. You agree that our liability for the actions of this software is limited as outlined in Sections 1.3–1.6, 9, and 10 of these Terms. If you choose to act on information provided by the Service, you assume the risks and consequences of such actions.

1.3. If you believe any response from the Service is offensive or inappropriate, you may report it by emailing support@amoryai.com. We will acknowledge your report and review it promptly.

1.4. You acknowledge that all AI-generated responses are produced by software and do not represent the opinions, advice, or positions of AMORYAI INC or its employees.

1.5. Not professional advice. AmoryAI is not a provider of healthcare, medical, financial, legal, or any other professional services. Only qualified professionals can provide such advice. AmoryAI makes no claims, representations, warranties, or guarantees that the Service provides therapeutic, medical, financial, or other professional guidance.

1.6. Do not use the Service in emergency situations. If you believe you are experiencing a medical or mental health emergency, contact emergency services or a qualified professional immediately. AmoryAI is not liable for any health-related issues arising from use of the Service.

2Eligibility & Use of Service

2.1. The Service is available globally, except in regions where usage is restricted by applicable authorities or by AmoryAI. You are solely responsible for ensuring that your use of the Service complies with the laws of your jurisdiction.

2.2. By using the Service, you confirm that you are at least 18 years old (or the age of majority in your jurisdiction, whichever is greater) and that all information you provide is accurate, complete, and current. Providing false or outdated information may result in immediate termination of your account.

2.3. You represent and warrant that you have the legal right, authority, and capacity to enter into these Terms. You may not authorize others to use your account, nor may you assign or transfer your account to any other person or entity. You agree to notify us immediately of any unauthorized use of your account or any security breach.

2.4. Your content must not violate any applicable laws, encourage such violations, or infringe on the rights of third parties, including intellectual property and privacy rights.

2.5. Access to the Service may require a device and browser meeting certain system requirements, as specified on the Website.

Registration

2.6. You may be required to register to access certain features. By registering, you agree to provide and maintain truthful, accurate, and complete information. Your registration data is subject to our Privacy Policy.

2.7. You are responsible for reviewing these Terms regularly for updates. You are permitted to maintain only one account with the Service.

3Subscriptions & Paid Services

Billing & Renewal

3.1. Your subscription will continue and automatically renew unless cancelled. You consent to our charging your payment method on a recurring basis without requiring prior approval for each charge. The billing cycle depends on the subscription plan you selected. For full details, see our Subscription Terms.

Cancellation

3.2. You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current paid period. For questions or concerns, contact support@amoryai.com.

Price Changes

3.3. We may modify subscription fees at our discretion. Changes take effect at the end of the current billing period. We will provide reasonable prior notice, giving you the opportunity to cancel before the new pricing applies. Continued use after a price change constitutes acceptance of the new fees.

4Refund Policy

4.1. For web subscriptions processed via Stripe, please refer to our Money-back Policy for detailed refund terms and conditions.

4.2. Partial subscription periods are not eligible for pro-rated refunds.

      Please note: The 14-day withdrawal right for EU consumers does not apply to digital content that has been fully accessed or downloaded with your prior express consent.
    

5Communications & Notifications

By creating an account, you consent to receive service-related communications, including security alerts, product updates, and promotional offers. You may opt out of marketing communications at any time through your account settings or by following the unsubscribe instructions in our emails.

6Acceptable Use

6.1. User Conduct

You are solely responsible for all content you upload, post, or transmit through the Service, including text, images, and other materials ("User Content"). You agree not to use the Service to:

Upload content that infringes on intellectual property or proprietary rights of any party
Upload content you do not have the right to share under applicable law or contractual obligations
Distribute software viruses, malware, or any code designed to disrupt or damage computer systems
Create privacy or security risks for any individual
Send unsolicited advertising, spam, chain letters, or pyramid schemes
Upload content that is unlawful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
Interfere with or disrupt the Service, servers, or connected networks
Violate any applicable local, national, or international law
Attempt to circumvent technological measures designed to protect the Service
Reverse engineer, decompile, or attempt to extract the source code of the Service

We reserve the right to investigate violations and take appropriate action, including content removal, account suspension or termination, and reporting to law enforcement.

6.2. Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to promptly notify us of any unauthorized access and to ensure you log out after each session. AmoryAI is not liable for any losses resulting from your failure to secure your account.

6.3. Data Usage for Service Improvement

You acknowledge that anonymized, non-personally-identifiable data from your interactions may be used to improve and enhance the Service. You consent to this usage and understand that no personally identifiable information is used for these purposes. For more details, see our Privacy Policy.

7Intellectual Property

7.1. Our Property

AmoryAI and its licensors own all intellectual property rights in the Service, including source code, databases, functionality, software, designs, audio, video, text, photographs, graphics (the "Content"), and all trademarks, service marks, and logos (the "Marks"). The Content and Marks are protected by copyright, trademark, and other intellectual property laws worldwide.

7.2. Limited License

Subject to your compliance with these Terms, we grant you a non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial purposes. You may not copy, reproduce, distribute, sell, license, or otherwise exploit the Content or Marks for any commercial purpose without our express written permission.

7.3. Copyright Claims

If you believe that content on the Service infringes your copyright, please send a written notification to support@amoryai.com with details of the alleged infringement. We will review and take appropriate action at our sole discretion.

8Third-Party Authentication

You may sign in to the Service using your email, Apple, or Google accounts. The use, storage, and disclosure of your information by these third-party authentication providers are governed by their respective privacy policies. AmoryAI is not responsible for the privacy practices or actions of any third-party services integrated within the Service.

9Limitation of Liability

9.1. You understand that you are interacting with AI software that generates responses based on your inputs. By using the Service, you may encounter content that you find inaccurate, offensive, or objectionable. Under no circumstances shall AmoryAI be liable for any AI-generated content or any loss or damage resulting from your use of such content.

9.2. We reserve the right, but not the obligation, to review, edit, format, or remove content at our sole discretion. We may limit or revoke your access if you post objectionable content. You agree to use the Service at your own risk.

9.3. To the maximum extent permitted by law, neither AmoryAI nor its directors, officers, or employees shall be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or other intangible losses, resulting from:

Your access to, use of, or inability to use the Service
Any conduct or content of third parties on the Service
Any content obtained from the Service
Unauthorized access, use, or alteration of your data

Our total liability to you for any cause shall not exceed the amount you have paid for the Service during the twelve (12) months preceding the claim.

10Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We make no warranties about the accuracy or completeness of the Service's content and assume no liability for errors, personal injury, unauthorized access, interruptions, bugs, viruses, or any loss resulting from the use of the Service.

11Dispute Resolution

11.1. Informal Negotiations

Before initiating formal proceedings, the parties agree to attempt to resolve any dispute informally for at least thirty (30) days. Informal negotiations begin upon written notice from one party to the other.

11.2. Binding Arbitration

Any dispute not resolved informally shall be determined by binding arbitration. The arbitration shall be conducted in English, and the seat of arbitration shall be determined by the applicable rules of the arbitration body. Applicable substantive law shall be determined based on the governing law provision in Section 13.

11.3. Limitations on Arbitration

All arbitration shall be limited to the dispute between the individual parties. No class-action arbitration, class actions, or representative actions are permitted.

11.4. Exceptions

The following disputes are exempt from the arbitration requirement: (a) intellectual property disputes; (b) claims related to theft, piracy, or unauthorized use; and (c) claims for injunctive relief.

12Privacy

We care about your data privacy and security. Please review our Privacy Policy, which is incorporated into these Terms. By using the Service, you agree to be bound by our Privacy Policy.

13Governing Law

These Terms are governed by and construed in accordance with applicable law. If you are a consumer residing in the European Union, you retain the protections provided by the mandatory provisions of your country of residence. The United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.

14Term & Termination

These Terms remain in effect while you use the Service. We reserve the right to deny access to the Service, terminate your account, and delete your content at any time, without notice or liability, for any reason, including violation of these Terms.

If your account is terminated, you are prohibited from creating a new account under any name. We reserve the right to pursue appropriate legal action, including civil, criminal, and injunctive remedies.

15Corrections

Information on the Service may contain errors, inaccuracies, or omissions. We reserve the right to correct any such issues and to update information at any time without prior notice.

16Indemnification

You agree to defend, indemnify, and hold harmless AMORYAI INC, its subsidiaries, affiliates, officers, agents, partners, and employees from any loss, damage, liability, claim, or demand (including reasonable attorneys' fees) arising from: (1) your use of the Service; (2) breach of these Terms; (3) breach of your representations and warranties; (4) violation of third-party rights, including intellectual property rights; or (5) any harmful act toward other users.

We reserve the right to assume exclusive defense and control of any matter subject to your indemnification, at your expense.

17Miscellaneous

These Terms, together with our Privacy Policy, Subscription Terms, and Money-back Policy, constitute the entire agreement between you and AmoryAI. Our failure to enforce any provision shall not constitute a waiver. If any provision is found unenforceable, it shall be severed without affecting the remaining provisions. We may assign our rights and obligations at any time. No joint venture, partnership, or agency relationship is created by these Terms.
